This Disrupt Everything UGC Submission Agreement (the “Agreement”) is a binding agreement between you (“you,” “your”) and Patrick Leddin / Patrick Leddin, PhD (including his team, contractors, and affiliated entities as applicable) (“Patrick,” “we,” “us,” “our”). This Agreement governs your submission of video, audio, images, text, and other content to be considered for display on the Disrupt Everything UGC Map and related uses.
1) Acceptance of These Terms
BY CLICKING “I AGREE,” SUBMITTING CONTENT, OR OTHERWISE PROVIDING CONTENT TO US, YOU:
- acknowledge you have read and understand this Agreement;
- represent you are legally able to enter a binding contract (or have parental/guardian consent as required); and
- agree to be legally bound by these terms.
If you do not agree, do not submit content.
2) Eligibility
- You must be at least the age of majority in your place of residence to submit content without a parent/guardian.
- If you are under the age of majority, your parent/legal guardian must submit on your behalf or provide verifiable written consent as we request.
- You may not submit content if you are contractually prohibited from doing so (e.g., by employer policies, confidentiality agreements, or other third-party obligations).
3) Definitions
- “Content” means any video, audio, photographs, images, text, captions, transcripts, usernames, handles, location information, and any other materials you submit or provide in connection with this project.
- “Appearance” means your name, likeness, voice, image, performance, biographical info, social handle(s), and other identifying information, and the same for anyone who appears in your Content.
- “Disrupt Everything Network” means our websites, emails/newsletters, social channels, podcast(s), events, presentations, advertising, and partner/press placements related to Patrick Leddin and Disrupt Everything.
4) Your Ownership
You retain ownership of your Content. However, you grant us the license described below so we can display and use your Content.
5) License Grant (Your Permission to Use the Content)
By submitting Content, you grant us a perpetual, worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to:
- use, reproduce, host, store, cache, adapt, edit (for length/clarity/format), translate, publish, publicly perform, publicly display, distribute, and create derivative works of your Content and Appearances;
- synchronize any audio you provide with the video you provide (as submitted or as edited); and
- use your Content and Appearances for any purpose, including commercial purposes, such as marketing, promotion, advertising, publicity, education, and editorial uses, across any media now known or later developed.
Where we may use it (examples)
This includes (without limitation):
- Website / mobile (including the interactive map, story pages, and embedded players)
- Email/newsletters
- Social media (organic and paid)
- Podcast/video channels
- Live events and speaking engagements (stage screens, highlight reels)
- Press and PR
- Print (including posters, brochures, book marketing, and potentially future book-related materials)
6) No Guarantee of Publication
Submitting Content does not guarantee that we will publish or use it. We may accept, reject, remove, or stop using Content at any time for any reason.
7) Editing, Formatting, and Context
You agree we may:
- trim, crop, reformat, add captions, translate, or otherwise edit Content for clarity, accessibility, and platform requirements;
- add branding (logos, titles, location pins, thumbnails), and
- pair Content with other materials (text, graphics, music, other stories) so long as we do not knowingly present your Content in a materially deceptive way.
8) Your Responsibilities (Rights, Releases, and Permissions)
You represent and warrant that:
- You own or control the rights to the Content and have the authority to grant the license in this Agreement.
- You have obtained written permission (release/consent) from every recognizable person appearing in the Content to allow commercial use of their Appearance as described here.
- If any person is a minor, you have written permission from the minor’s parent/legal guardian.
- Your Content does not infringe or violate anyone’s rights, including copyright, trademark, publicity/privacy, or moral rights.
- If your Content includes music, you have the necessary rights/licenses to use it. (Tip: royalty-free music is safest.)
- Your Content does not violate any law, regulation, or third-party obligation (including employer confidentiality).
We may request proof of releases or permissions at any time. If you cannot provide them, we may reject or remove your Content.
9) Content Guidelines (What You Agree Not to Submit)
You agree not to submit Content that:
- contains hate, harassment, threats, or discriminatory content;
- includes explicit sexual content or nudity, or gratuitous violence;
- depicts illegal or dangerous activity (or encourages it);
- reveals sensitive personal information (addresses, financial info, private medical info) about you or anyone else;
- is defamatory, misleading, or intended to impersonate someone; or
- violates platform rules or our community standards.
We may remove Content at our sole discretion.
10) Compensation and Consideration
Unless we separately agree in writing:
- No compensation is promised for submissions.
- Some submissions may be highlighted (e.g., featured pins, newsletter spotlight, social feature, or event montage).
- Any mention of potential inclusion in future projects (including books) is not a guarantee and will be subject to separate agreements if needed.
11) Removal Requests
If you want your Content removed, you may contact us at: [jess@patrickleddin.com].
We will make reasonable efforts to remove it from our owned/controlled properties within a reasonable time. However:
- we cannot guarantee removal from third-party platforms, reposts, press coverage, or shares by others once it has been published.
12) Privacy
By submitting, you understand we may collect personal information such as your name, email, location, and social handles for purposes of:
- reviewing and managing submissions,
- contacting you,
- displaying attribution (if selected), and
- operating and improving the Disrupt Everything UGC Map.
Our handling of personal information is described in our Privacy Policy.
13) DMCA / Copyright Complaints
If you believe your copyrighted work has been used improperly on the UGC Map, contact: [jess@patrickleddin.com] with:
- identification of the work,
- the URL/location of the allegedly infringing material,
- your contact information, and
- a statement of good-faith belief and authority to act.
14) Indemnification
You agree to indemnify, defend, and hold harmless Patrick and our affiliates/partners/contractors from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from:
- your Content,
- your breach of this Agreement, or
- any allegation that our use of your Content as permitted here infringes or violates third-party rights.
15) Disclaimer
The UGC Map is provided “as is.” We do not guarantee uninterrupted availability, error-free operation, or that Content will always remain accessible.
16) Limitation of Liability
To the maximum extent permitted by law:
- We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from or related to your submission or our use of Content.
- Our total liability arising out of or relating to this Agreement will not exceed $100 USD (or the minimum amount permitted by law), unless otherwise required by applicable law.
17) Governing Law and Venue
This Agreement will be governed by the laws of [Indiana/United States], without regard to conflict of law rules. Any dispute will be brought exclusively in the courts located in [Indiana], and you consent to jurisdiction and venue there—unless your local law requires otherwise.
18) Changes to These Terms
We may update this Agreement from time to time. The “Last Updated” date will reflect changes. If you continue to submit Content after changes, you agree to the updated terms.
19) Miscellaneous
- Assignment: We may assign this Agreement. You may not assign it without our written consent.
- Severability: If any term is held unenforceable, the rest remains in effect.
- No waiver: Failure to enforce any provision isn’t a waiver.
- Entire agreement: This is the entire agreement about submissions, unless we sign a separate written agreement with you.
